    We are not "business brokers." We are not conventional “business brokers”. We are merger and acquisition intermediaries. The difference is important because Gottesman is a unique firm with its 54 plus member M&A team consisting of former business owners and retired executives with an average of 40 years business experience.

    We provide value-added services that help to "make it happen."

    1. DEVELOP CRITERIA

    Determine seller’s needs, financial and personal, as criteria for the direction of our effort:

    • Sell and retire
    • Sell and remain as President or Consultant
    • Retain % of ownership of new firm

    2. ANALYZE COMPANY

    Complete Gottesman registration form with Seller to gain deeper understanding of Seller’s company - past, present, and future.

    3. PREPARE COMPANY FOR SALE

    • Review and reconstruct financial statements to incorporate hidden values, true profit

    4. CREATE SELLING DOCUMENTS

    Create Executive Summary or "Book" which serves as a Selling Document for submission to prospective buyers and their advisers. This helps to give a complete picture of the history, operations, personnel, finances, marketing policies of the firm with indications of future directions and potential.

    5. BUSINESS EVALUATION

    Help client to evaluate the business taking into account its assets, cash flow, sales and profit trends, industry and competitive environment, potential for growth.

    6. TARGET BUYER(S)

    Target and develop buyer (or merger) prospects using contacts, research techniques and databases, advertising (where necessary), letters, telemarketing, visitations.

    7. NEGOTIATIONS

    Assist in negotiations between Buyer and Seller.

    8. DEAL STRUCTURE

    Help structure deal, e.g. cash down vs. all cash, terms of payment to Seller, non-compete agreement, management and employment contracts, interest payments, rentals of real property, incentive agreements for Seller and/or his family members in the business, licensing, options, stock in new corporation, etc., interest on notes payable. We work in full cooperation with Seller’s lawyer and accountant.
